Official Statute of the Organization SEMAK
Based on article 4, paragraph 1 in conjunction with Articles, Articles 18 and 23 of the Law on Associations and Foundations (Official Gazette of RM No.52 / 2010) Assembly of SEMAK-Bitola on 19.04.2011 adopt:
STATUTE 1
the Association for Promotion of social economic development, environmental protection and national culture SEMAK Bitola
General regulations:
Article 1
– Name of organization: Association for Promotion of social economic development, environmental protection and national culture SEMAK Bitola
– The short title: SEMAK Bitola
– Headquarters: Ul.Svetozar Popovski 8, s.Kravari, Bitola, 7000
– SEMAK Bitola operating on the territory of Macedonia
Article 2
– SEMAK Bitola is nongovernmental, nonpolitical, nonprofit organization in the field of public cultural life, formed to encourages, promotes and produces, exchanges authentic cultural products, trends and policies.
Article 3
Mission, goals and objectives
– The citizens are united in the Association SEMAK- Bitola in order to accomplish broader common interest, and specific objectives and tasks are:
– Sociao-economic cohesion and development
– Euro integration in NATO
– Culture and Tourism
– Strengthening the capacity of civil society
– SEMAK- Bitola initiate the establishment of UNESCO Club in accordance with UNESCO program
– Advising and promoting energy and protection of the environment (innovation, educational programs and renewable alternative energy).
– Mission of action SEMAK- Bitola is in culture and the arts and culture of living in general.
– In their work SEMAK- Bitola strives to promote positive values and aesthetic and ethical criteria in the areas of cultural life and creation and the daily life of citizens.
– SEMAK- Bitola will promote the development of democracy, human rights and dignity and will promote cultural decontamination or replacement of false values and norms with positive and generally accepted civilization values.
– SEMAK- Bitola will strive to keep the Macedonian tradition and its promotion in the country and abroad.
– SEMAK- Bitola will initiate and maintain contact and cooperation with both domestic with foreign organizations, institutions and individuals that are useful for the implementation of the programs and mission of the organization.
– SEMAK- Bitola mission special place will give to the international exchange of cultural goods, ideas and people that are aiming for promotion of Macedonia in the world and entering positive cultural trends and values in our country.
– Educational and promotional achievements in the European integration process.
– Helping local governments and public enterprises in accessing European and international funds and programs.
– Partnerships with Local Government and Public Enterprises
– SEMAK- Bitola for successful program and material sustainability and achieving the goals and objectives of the organization served with activities that are performed according to the National Classification of Activities.
– Youth organizing and volunteering.
– Development of civil society and democracy.
– Promotion and protection of the environment and climate change
Article 4
– SEMAK- Bitola is a legal person with rights and obligations arising from the law and this Statute.
Article 5
– SEMAK- Bitola is stamped with a round-shaped logo of the organization, surrounded by a circular text- SEMAK- Bitola.
Article 6
– SEMAK- Bitola seal is with a rectangular shape and inscription like the press (SEMAK- Bitola) date, number and place.
Article 7
Publicity and Information
– The work of SEMAK- Bitola is public through internal information available to all members and associates of the organization.
– The information is performed:
– In person at the meetings,
– Telephone
– Submitted electronically deposited via e-mail to members
– A letter of deposited address
– Through the organization’s website
– Public information will be available through the organization’s website and other informational and propaganda methods using public local and national print and electronic media
– For the provision of any information in the public media or the broader membership is responsible program coordinator
Article 8
Independence
– SEMAK- Bitola is an independent management, the adoption and implementation of the objectives and activities are provided by the Statute, in accordance with the Constitution and the law.
Article 9
No politisation
– SEMAK- Bitola can not perform political activities or use their property and assets for achieving the goals of political parties.
– As a political activity referred to in paragraph 1 of this Article is a direct participation in the election campaign and financing of political party.
Article 10
Acts contrary to the law
– The program and activities of SEMAK- Bitola can not be directed to:
– Violent destruction of public order of the country.
– Encouragement or incitement to military aggression.
– Encouragement of racial, national or religious hatred and intolerance.
Article 11
Membership
– Every citizen of Macedonia who wants to become a member of SEMAK- Bitola will submit personally signed application form.
– SEMAK- Bitola is an association of citizens that are open, and the right of membership for every citizen in the Republic of Macedonia who has reached over 14 years old and meets the criteria for membership in the organization, and they are:
– Not convicted of criminal offenses.
– Not suspended entrepreneurial ability.
– Not to be holder of any public or political party function in collision with the policy and principles of organization and civil society in general.
– To respect the terms of reference and the bodies of the organization.
– Actively participate in the upgrade program and activities of the organization.
– To go through a process of active volunteer at least 3 months.
– For admission to membership decides Management Board SEMAK- Bitola.
Article 12
Disconnection from membership
– Membership in Bitola SEMAK- is terminated voluntarily or by exclusion.
– Voluntarily is with written or oral statement to the Programme Coordinator or the President.
– A person can be excluded from the organization if it fails to respect the Statute and other acts of the organization.
– It hurt the reputation and honor of the organization.
– Acts in personal interest.
– Disconnection of a member of the organization is carried by the President if there are reasons that are closely related with disrespect of the principles of the previously described in Article 9.
Article 13
Rights and duties of a member of SEMAK- Bitola
– Each member has a duty to pay a monthly fee determined by the Executive Board.
– To implement the program and to participate in other program activities of SEMAK- Bitola, respecting the personality of the other members regardless of nationality, gender or racial diversity.
– To offer ideas and activities and carry them.
– To elect and be elected in bodies, functions and authorities of SEMAK- Bitola.
– To use all available resources of SEMAK- Bitola for the activities that has been accepted by the management.
Article 14
– Each member of SEMAK- Bitola has the right to establish contacts and initiate activities in line with the organization’s mission if previously receive oral or written consent from the program coordinator.
– Each member is entitled to a membership card.
– Each member has a right of diploma recognition, recommendation and similar paper if there is a decision of the Board or if the coordinator is delegated for that obligation.
Article 15
– Status of associate membership can get and persons that are not within the preceding group, until they meet the above conditions.
Article 16
Organizational structure
– Bodies of SEMAK- Bitola:
– Assembly
– Executive Board
– Supervisory Board
– President
– Program Coordinator
Article 17
Assembly
– The highest authority of SEMAK- Bitola is its Assembly, which consists of all full members of the organization.
– Assembly elects President for a term of 4 years with the right to re-election. The President represents the Association.
– The Assembly meets when necessary, at least once a year.
– The mandate of the Assembly is 4 years with the right to re-election
– Electoral Assembly is convened every 4 years and the constitution of the bodies must be made 30 days before the expiry of the mandate of the members of the bodies.
– Invitation with agenda materials in written form shall be submitted at least 7 days prior to the session.
– Materials and invitation can be sent electronically to the previously deposited email address of the members.
Article 18
The electoral assembly is elected:
– Executive Presidency of three members,
– Court Clerk,
– Person for checking the record,
– Management bodies of the Association.
Article 19
– Assembly works on sessions.
– The Assembly holds a session once a year, unless the statute is provided for a shorter period.
– Extraordinary session of the Assembly may be held upon written request of one third of the members of the Assembly.
– Extraordinary session must be held within 30 days of submitting the application.
– The manner of convening the Assembly, its work and decision-making without the presence of the members is regulating according the statute of the association
Article 20
– Assembly of SEMAK- Bitola based in Bitola from among its members on regular or extraordinary meetings elect the Executive Director.
Article 21
– The Assembly may work and decide if more than half of the total members are present.
– The Assembly makes decisions by majority vote of the members present.
– On the Assembly the decisions are voted by a public vote, but if necessary and by proposal of 1/3 of members / delegates voting may be secret.
Article 22
– By decision of the Parliament it can be expanded with new members.
Article 23
– Assembly of Bitola SEMAK- meets annually.
– Assembly of Bitola SEMAK- be called when necessary, but at the request of Executive Board or at least 1/3 of the membership of the Assembly.
Article 24
Functions of the Assembly of SEMAK- Bitola:
The Assembly shall:
– Adopts the Statute and amendments and supplements to it;
– Adopts annual report, directions and working plan
– Adopts the final account and financial plan
– Decides to change the objectives of the association
– Decides for associating with or abandoning other associations and membership in unions and international organizations.
– Acknowledges the admission of new members and termination of membership
– Elected Chairman of the Association;
– Adopts the work program of the Association;
– Elect and dismiss members of the Management Board;
– Review and adopt the report of the Board between two assemblies;
– Elect and dismiss the members of the Supervisory Board.
– Monitor the financial condition of the association between two assemblies;
– Discussion on the results of the development of the Association and provides guidelines for further development of the Association;
– Makes decisions, conclusions, and recommendations for resolving issues of interest to the Association;
– Elect and dismiss members of the Supervisory Board.
– Examines and decides on the basis of the findings of the Supervisory Board.
– Decide on the termination of the association with a two-thirds majority
– Performs other duties arising from the Statute and the laws
– Adopts the statute, program and other acts,
– Adopt the annual report and financial report and publish it on its website,
– Submit a financial report to the competent governmental authority or the authority of municipalities in cases where use funds from the State Budget or the budgets of local government units,
– Decide to change the purpose of the association,
– Decide on the internal organization and organizational forms of the bodies of the association,
– Elect and dismiss members of bodies
– Decide on status changes of the association,
– Decide on the termination of the association with a two-thirds majority vote of all members of the association;
– Perform other duties in accordance with the statute and regulations of the association.
Article 25
Decision making
– Decisions of the Assembly are valid until much that more than half of the members are present.
– Decisions are taken by a simple majority vote of all present by public or secret voting.
– The voting may be realized and with absence of the article: in writing in a sealed envelope addressed in previously submitted agenda before the Assembly or electronically, by previously deposited ELECTRONIC address that is on the name of the member or by telephone and conference call between members.
– This tool of communication and decision making are introduced due to more effective communication and reducing the cost of meetings.
– It introduces the possibility for electronic meeting or communication and decision-making in online network set up for this purpose.
– From one ELECTRONIC address, a member can vote only once on an issue reported by valid e-mail address.
Article 26
Executive Board
– Selected by members of the assembly.
– Selected by a simple majority of the audience at a public or secret voting if they offer at least 1/3 of the present-membership.
– Executive Board is composed of 3 members – a president and 2 members
– Executive Board can work and make decisions if on the session is present at least 1 President and board member.
– For its work the Board is answerable to the Assembly.
– Meets on 4 years or when necessary, at the initiative of the President or a member of the board.
Article 27
Tasks of the Executive Board
Of SEMAK- Bitola:
– Prepares Assembly meetings, preparation for the session of the General Meeting
– Prepares draft statute, proposed amendments to the Statute and prepares other decisions to be passed by parliament.
– Implements the policy of the Assembly and the conclusions and decisions of the Assembly.
– Implement statutory and program objectives of the Association
– If there is a decision of the Assembly establish a special service and monitor its work
– Manages and is responsible for the property management of the Association
– Prepare annual or periodic reports on its work
– Adopt and implement annual work program
– Adopt appropriate regulations, to accept agreements and contracts;
– Appoint and dismiss the Programme Coordinator of the association.
– Makes decisions for the establishment of permanent and temporary committees and commissions and to direct their work;
– Organizes and actively participates in the organization of various actions and events;
– Allocates decisions on awards, certificates and awards;
– Gives consent for the purchase and sale of fixed assets;
– Gives consent of the Regulations on the organization and duties of the Administrative Office of the Association and control of its work;
– Makes decisions on complaints and appeals;
– Propose and implement a financial plan and prepare a balance sheet of the Association;
– Decide on the establishment of branches of the Association
– Appoint members of the Professional Service Association,
– Performs other duties arising from the needs of the Statute of Association and the Law.
Article 28
Supervisory Board
– It is composed of 3 members.
– Selects Assembly of Bitola SEMAK- of full members
– There is a role for arbitrary relations between the bodies and functions within the organization
– Controls and supervise the financial operations of the organization
– Supervise the work of the Board and procedures
– Submit a report to Parliament.
– Needed to initiate convening the Assembly session.
– There’s a term of 4 years with the right of re-election.
– The termination of the membership in the Supervisory Board is pesonal desire by written request, if the member grossly violated reputation, honor and laws if doesn’t not appear at scheduled meetings of the board 3 times.
Article 29
President
– The president is the legal representative of the Association.
– President of the Executive Board is elected by Parliament for a term of 4 years and re-elected and is the President of the Assembly.
– Voting for President is public.
– His office is on a voluntary basis and manages the activities of the Executive Board convened Assembly prepares acts of Parliament signed general contracts and decisions, programs, annual reports closely and oversee the operations of the Programme Coordinator and actively lobbying the interests of SEMAK – Bitola.
Article 30
Commission, bodies and teams
– SEMAK- Bitola can establish other bodies, committees and project advisory or operational nature and are part of ongoing operations.
– These bodies may adopt advisory and operational decisions, writing projects, initiatives and reports in accordance with the program of SEMAK- Bitola.
– For its work and functioning answerable are to the Coordinator.
Article 31
Program coordinator
– The successful implementation of programs and activities, and sustainability of the organization is named Program Coordinator.
– Program Coordinator is appointed by the Management Board for a term of 4 years and re-elected.
– Its function is to coordinate with membership, to care for material and financial operations.
– To take care of the successful image of the organization, and interpersonal relationships,
– To prepare and operational work plan.
– To receive and dismiss coworkers.
– Assume other operational decisions in the interest of the organization.
– To represent the organization in public.
– Its function can be paid or on voluntary basis.
– For its decisions and operations is answerable to the President and the Executive Board.
– Works closely with the President of the Board
– Submit an annual report to the Executive Board and the Assembly
Article 32
The financial operations
– Material and financial operations of SEMAK- Bitola is based on the financial plan and the calculation of income and expenses.
– Sources of a means of SEMAK- Bitola, sponsorships, donations, funds in competitions and projects, funds donated by members and friends of the organization, personal income from activities.
– Assets acquired in this way should be allocated among the founding members of the organization or people close to them.
– The economic and financial performance is based on the applicable legislation and the Statute of the organization.
– Signatory of the bank account of the organization’s president or another authorized person.
– Members of the organization regardless of the function they perform are entitled to be involved on a voluntary basis pursuant to the Law on Volunteering PM. if there is need.
– Members of the organization are entitled to compensation (royalties) for the work if it requires professional engagement exceeds volunteer engagement or engaging in activities that are not part of voluntary commitments, arising from the execution of project activities, envisaging funds for this purpose and are closely related to sustainability, the program and the mission of the organization (festivals, promotions, campaigns, publishing, production, organization, engaging the realization of events, projects).
– Members of the Supervisory Board must not be part of the project activities that monitor.
Article 33
– The property SEMAK- Bitola consists of cash, movable and immovable property, copyright.
Transitional and final regulations
Article 34
SEMAK- Bitola will not exist:
– If there is decision of the assembly of SEMAK- Bitola by a qualified majority on the termination of the association.
– If there is suspension on the operation of SEMAK- Bitola with decision of a competent court.
– If the number of members falls below the number of members necessary for foundation.
– Time spent double for scheduled meeting of the highest body established by the statute, and it is not held.
– In two consecutive years is not submitted its final report in accordance with the law,
– Statutory change provides cessation of existence.
– Bankruptcy and Liquidation.
Article 35
In case of decommissioning, SEMAK- Bitola property and assets are remaining to Prespa and Pelagonia eparchy, after settling the liabilities.
Article 36
The President is obliged in case of termination of operation SEMAK- Bitola within 15 days to inform the competent authority to implement the registry to cancel it from the register of associations of citizens.
Article 37
-This statute was adopted on 19.04.2011 and comes into force from the date of adoption of the Annual General SEMAK- Bitola and it repealed the old Statute.
– The new statute will be applied in registration with the competent authority for keeping the register.
Article 38
– The right to interpret the provisions of this Statute has SEMAK- Assembly of Bitola, and between the two Assemblies, the Executive Board.
